Terms of Service
Effective Date: January 1, 2026 • Version 2.6 • Applicable to all registered B2B Operators, Aggregators, and Platform Partners.
B2B Software & API Aggregation Model
NoviSoft operates exclusively as a Business-to-Business (B2B) software technology provider. We provide game API aggregation, seamless wallet gateways, cashier rails, and turnkey gaming platforms to licensed corporate operators. We do not offer direct consumer wagering, accept player bets directly, or manage consumer player accounts.
01. Definitions & Scope of Agreement
In this Master Service Agreement (“Agreement”), the following terms shall have the meanings ascribed below:
- “Company” / “NoviSoft” refers to NoviSoft Global Technology B.V., its subsidiaries, API aggregation infrastructure, and licensed software engines.
- “Operator” / “Merchant” refers to the corporate entity or authorized business person registering for, licensing, or utilizing the NoviSoft API, White Label, or Turnkey solutions.
- “GGR” (Gross Gaming Revenue) means Total Player Bets minus Total Player Wins generated across integrated game studios.
- “Seamless Wallet” refers to the zero-transfer dynamic balance synchronization protocol where player balance is maintained on the Operator’s server.
- “Carrier Sub-Wallet” refers to the isolated studio credit allocation model where funds are deposited into and withdrawn from provider sub-accounts.
02. Operator Eligibility, Registration & KYC
To access the NoviSoft API endpoints or activate a casino platform package:
2.1 Corporate Capacity: The Operator represents that it is duly organized, validly existing, and possesses full legal authority under the laws of its operating jurisdiction to offer interactive gaming entertainment.
2.2 Anti-Money Laundering (AML) & Proof of Identity: Prior to production API key issuance or domain DNS propagation, Operators must submit business verification documents (Company registration, Director ID, and server IP allowlist declaration).
2.3 Account Confidentiality: Operators are solely responsible for safeguarding their API credentials (OperatorCode, SecretKey). Any call signed with a valid HMAC-SHA256 signature is deemed authorized by the Operator.
03. Commercial Tiers, Setup Fees & Domain Policies
Operators select from three standardized commercial packages upon onboarding or package upgrade:
Enterprise Domain Expansion Policy: The Enterprise Package includes ten (10) complimentary domain licenses. Any additional website domain connected beyond 10 requires an $850 setup fee, with $250 automatically credited back as a monthly rebate to the merchant’s deposit balance at the conclusion of each billing cycle (Net $600/domain).
04. Revenue Share (GGR) Billing & Credit Multiplier
4.1 10x Deposit Multiplier: Operator deposit reloads receive a guaranteed 10x Credit Multiplier ($1 USD / USDT = 10 GGR Quota Credits). As players generate positive win/loss, the applicable tier revshare (5%, 7%, or 10%) is deducted automatically from the credit quota balance.
4.2 Minimum Deposit Amounts: Initial first-time GGR load requires a minimum of $500 USDT (5,000 GGR Credits). Subsequent reload deposits require a minimum of $100 USDT (1,000 GGR Credits).
4.3 Currency Settlements: All settlements and invoices are generated in USDT (TRC-20 / ERC-20 / BEP-20) or designated stable fiat equivalents based on real-time market exchange rates.
05. Service Level Agreement (SLA) & Security Firewalls
5.1 99.99% Core Gateway Uptime: NoviSoft maintains redundant multi-region cloud clustering with automated edge failover guaranteeing 99.99% availability for API game launches and webhook processing.
5.2 Mandatory IP Whitelisting: Operators must whitelist their production server IP addresses. Unregistered IP addresses attempting to call gateway routes or dispatch webhook payloads will be dropped immediately with HTTP 403 Forbidden.
5.3 Sub-45ms Callback Latency SLA: Operator webhook listeners must respond to Seamless Wallet debit/credit calls within 3,000ms. Calls exceeding 3,000ms trigger automatic timeout rollbacks to protect player balance integrity.
06. Intellectual Property & Studio Certification
All game titles, trademarks, logos, audio-visual elements, and mathematical RNG models belonging to integrated studios (e.g., Pragmatic Play, Evolution, PG Soft, JILI, Spribe, NetEnt) remain the exclusive intellectual property of their respective creators. The Operator receives a non-exclusive, revocable B2B sub-license strictly for operational game display.
07. Service Suspension & Termination
7.1 Immediate Suspension: NoviSoft reserves the right to temporarily suspend API routing if an Operator exhibits fraudulent arbitrage activity, negative balance manipulation, or unverified server compromise.
7.2 Termination for Convenience: Either party may terminate the integration with thirty (30) days written notice. Remaining unused GGR credits will be resolved in accordance with our Refund Policy.
